Terms of Service

Effective date: 1st June, 2026

Please read these Terms of Service carefully before using VoiceMaker. These Terms form a legal agreement between you and EqualyzAI Limited. By creating an account, accessing, or using VoiceMaker, you agree to be bound by these Terms. If you do not agree, you may not use VoiceMaker.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of VoiceMaker, a voice-first artificial intelligence platform operated by EqualyzAI Limited ("EqualyzAI", "we", "us", or "our"), a company registered under the laws of the Federal Republic of Nigeria.

VoiceMaker allows users to generate voiceovers using text-to-speech, transcribe audio, clone voices, animate content, and use other AI-powered voice features (together, the "Services").

These Terms should be read together with our Privacy Policy and Cookie Policy. By using the Services, you confirm that you have read and understood these Terms, our Privacy Policy, and our Cookie Policy, and that you agree to be bound by them.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to both you personally and the organisation.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least eighteen (18) years old to create an account and use the Services. By creating an account, you represent and warrant that you are 18 years of age or older.

If you are using the Services on behalf of an organisation, you further represent that the organisation is duly incorporated and in good standing in its jurisdiction.

2.2 Account Creation

To use the paid features of VoiceMaker, you must create an account and provide accurate, current, and complete information, including your name, email address, and any additional information we request.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@equalyz.ai if you become aware of any unauthorised access to or use of your account.

We reserve the right to refuse account creation, suspend, or terminate accounts at our discretion where we reasonably believe a user has violated these Terms or applicable law.

2.3 Guest Access

Some features of VoiceMaker may be available to guest users without account registration. Guest usage is subject to these Terms and may be limited in scope, capacity, or feature access.

3. Subscription Plans, Credits, and Payment

3.1 Plans

VoiceMaker offers a free tier and paid subscription plans (currently Starter, Growth, and Pro). Each plan includes a specified number of credits per month and access to specific features. Current plan details, credit allocations, and prices are published on our website and may be updated from time to time.

3.2 Credits

Use of VoiceMaker's Services consumes credits, which are debited from your account based on the operation performed (for example, text-to-speech generation, transcription, or voice cloning). Credit costs per operation are published in your account dashboard and may be updated from time to time.

Free tier credits reset at the start of each calendar month. Unused free tier credits do not roll over.

Paid credits purchased through a subscription remain available for the duration of your active subscription period. Unused paid credits do not roll over to the next billing period unless expressly stated in your plan.

Credits have no monetary value outside VoiceMaker and cannot be exchanged for cash, transferred to another account, or resold.

3.3 Payment

Payment for paid plans is processed by our third-party payment provider, Flutterwave. By subscribing to a paid plan, you authorise us to charge your chosen payment method for the subscription fees and any applicable taxes.

All fees are stated in Nigerian Naira unless otherwise indicated. Prices are subject to change; we will provide notice of price changes at least 30 days in advance for existing subscribers, and any change will take effect at the next billing cycle.

3.4 Auto-Renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or as specified at the time of subscription) unless you cancel before the renewal date. By subscribing, you consent to automatic renewal and to being charged for the renewed subscription period.

You may disable auto-renewal at any time through your account settings. Disabling auto-renewal will not cancel your current subscription; you will continue to have access until the end of the current billing period.

3.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again for a reasonable period. If payment cannot be completed, your subscription will be downgraded to the free tier, and access to paid features will be restricted until payment is resolved.

4. Cancellation and Refunds

4.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew.

Cancellation does not entitle you to a refund of fees already paid for the current billing period, except as expressly provided in Section 4.2.

4.2 Refund Policy

VoiceMaker does not provide refunds for subscription fees, unused credits, or any other charges, except in the following limited circumstance:

Failed jobs: If you were charged credits for a job that failed due to a technical issue on our platform (for example, the generation did not complete or the output was corrupted), you may request a refund of the credits consumed by the failed job.

To request a refund for a failed job, you must contact us at support@myvoicemaker.ai within 30 days of the failed job. Refunds will be issued as credits added back to your account, not as a cash refund. Refund decisions are at our reasonable discretion, and we may request evidence of the failure before processing the refund.

4.3 Termination for Cause

We reserve the right to terminate or suspend your account without refund if you materially breach these Terms, engage in unlawful activity, or use the Services in a manner that harms EqualyzAI, other users, or third parties.

5. Ownership of Generated Content

5.1 Your Ownership

Subject to your compliance with these Terms, you retain full ownership of the audio, text, and other output you generate using VoiceMaker ("Generated Content"). You may use Generated Content for personal, commercial, or any other lawful purpose.

5.2 Licence to EqualyzAI

By using the Services, you grant EqualyzAI a limited, non-exclusive, royalty-free, worldwide licence to host, store, process, transmit, and deliver your Generated Content, uploaded content, voice cloning samples, and text scripts (together, "Your Content") solely for the purpose of providing the Services to you.

This licence is limited to what is operationally necessary to deliver the Services. It does not permit EqualyzAI to redistribute, publish, or make Your Content available to third parties beyond what is required to operate the platform (for example, transmitting content to sub-processors listed in our Privacy Policy).

5.3 Aggregated and Anonymised Data

EqualyzAI may collect, use, and retain aggregated and anonymised metadata derived from your use of the Services (for example, usage patterns, feature adoption, and platform performance metrics). Aggregated data does not identify individual users and is not considered personal data. We may use aggregated data for any lawful purpose, including improving the Services, publishing usage insights, and reporting to partners or investors.

5.4 AI Model Training

EqualyzAI does not use Your Content to train or improve our AI models without your explicit prior opt-in consent. You may provide or withdraw opt-in consent through your account settings. Where you opt in, we may use Your Content, in accordance with our Privacy Policy, to improve our text-to-speech, speech-to-text, and voice models, including improving support for Nigerian and other African languages.

Withdrawal of consent does not affect the lawfulness of any processing carried out before withdrawal. Once you withdraw consent, we will stop using Your Content for training purposes going forward.

5.5 Marketing Use

EqualyzAI will not use Your Content for marketing, promotional, or public display purposes without your specific prior written permission. Where we wish to feature Your Content (for example, in a case study, testimonial, or social media post), we will contact you directly to request permission and obtain your written consent.

6. Acceptable Use

You agree to use VoiceMaker only for lawful purposes and in accordance with these Terms. You will not use the Services to:

●      Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, publicity, or contractual rights.

●      Generate content that is defamatory, obscene, harassing, hateful, threatening, or discriminatory.

●      Impersonate any person or entity without their explicit consent, or misrepresent your affiliation with any person or organisation.

●      Generate synthetic media designed to deceive, mislead, or defraud any person, organisation, or public body, including deepfake content presented as authentic.

●      Produce audio for the purpose of committing or facilitating fraud, scams, or financial crime, including but not limited to voice-based social engineering, impersonation of executives, or fraudulent authorisation requests.

●      Circumvent, disable, or attempt to bypass voice-based authentication or security systems.

●      Generate content that constitutes non-consensual sexual content, child sexual abuse material, or content that sexualises minors in any form.

●      Produce content that incites violence, promotes terrorism, or encourages harm to any person or group.

●      Reverse engineer, decompile, disassemble, or attempt to derive the source code, model weights, or underlying architecture of the Services.

●      Scrape, crawl, or use automated means to extract data from the Services except as expressly permitted through our official API.

●      Interfere with the operation, security, or integrity of the Services, including through denial-of-service attacks, malware, or exploiting vulnerabilities.

●      Use the Services to develop, train, or improve any competing product or service.

●      Resell, sublicence, or provide the Services to third parties except as expressly authorised in writing by EqualyzAI.

We reserve the right to investigate suspected violations, suspend or terminate offending accounts, remove violating content, and cooperate with law enforcement where required.

7. Voice Cloning

Voice cloning is a sensitive feature subject to specific terms in addition to the general Acceptable Use provisions in Section 6.

7.1 Consent and Ownership

By uploading a voice sample to create a cloned voice, you represent and warrant that:

●      The voice belongs to you, or you have obtained explicit, informed, written consent from the person whose voice is being cloned.

●      You have the legal right to use the voice for the purposes you intend, including any commercial use.

●      The person whose voice is being cloned is at least 18 years of age.

●      You will not use the cloned voice to impersonate the voice owner or any other person without their explicit consent, create defamatory content, produce fraudulent audio, or engage in any prohibited use listed in Section 6.

7.2 Consent Confirmation

Before creating a cloned voice, you will be required to confirm through an in-platform consent mechanism that you own the voice or have obtained the necessary consent. This confirmation is recorded and retained as evidence of your representation.

7.3 Watermarking and Audit

Audio generated from cloned voices carries an inaudible digital watermark to allow us to identify content generated on VoiceMaker. We maintain audit logs of voice cloning activity, including account, timestamp, and consent confirmation. These logs may be used to investigate suspected violations of these Terms or applicable law.

7.4 Restrictions and Enforcement

We reserve the right to review voice clone submissions and to reject, remove, or delete any clone we reasonably believe violates these Terms. Violations may result in immediate account suspension, deletion of cloned voices, forfeiture of purchased credits, and referral to relevant authorities where required by law.

7.5 Retention

Cloned voice profiles are stored securely and retained until you delete them. You may delete a cloned voice at any time from your account dashboard. Upon account deletion, cloned voices are retained for a 30-day grace period to allow for account recovery, after which they are permanently deleted, in accordance with our Privacy Policy.

8. API Access

VoiceMaker offers programmatic access to the Services through our official API. API access is subject to these Terms and any additional API-specific documentation and rate limits published in your developer dashboard.

8.1 API Keys

You are responsible for maintaining the confidentiality of any API keys issued to you. You must not share, publish, or expose API keys in publicly accessible code repositories or client-side applications. You are responsible for all activity conducted through your API keys.

8.2 Rate Limits and Fair Use

API access is subject to rate limits and fair use policies published in your developer dashboard. We reserve the right to throttle, suspend, or terminate API access that exceeds these limits or that we reasonably believe is being used in a manner that impairs the performance of the Services for other users.

8.3 Prohibited API Uses

You may not use the API to:

●      Build a competing product, service, or platform.

●      Resell or sublicence access to the Services except as expressly authorised in writing.

●      Scrape or extract data from the Services beyond the endpoints and use cases documented in the API reference.

●      Circumvent rate limits, credit consumption, or other technical restrictions.

9. Intellectual Property

9.1 EqualyzAI's Rights

The Services, including all software, models, algorithms, interfaces, designs, trademarks, logos, documentation, and other content provided by EqualyzAI, are owned by EqualyzAI or our licensors and are protected by intellectual property laws. No rights are granted to you except those expressly set out in these Terms.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant EqualyzAI a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate such feedback into the Services or any other product without obligation to you.

9.3 Trademarks

VoiceMaker, EqualyzAI, and associated logos are trademarks of EqualyzAI Limited. You may not use these trademarks without our prior written consent, except to accurately identify the Services in accordance with fair use principles.

10. Warranty Disclaimer

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

EqualyzAI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability. We make no warranty that the Services will meet your requirements, be error-free, or produce outputs that meet your expectations for accuracy or quality.

AI-generated output is inherently probabilistic and may contain errors, inaccuracies, or unexpected results. You are solely responsible for reviewing, verifying, and taking responsibility for any output you use.

11. Limitation of Liability

To the fullest extent permitted by applicable law, EqualyzAI, its officers, directors, employees, agents, and third-party service providers shall not be liable to you or any third party for:

●      Any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for lost profits, lost data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Services.

●      Any damages arising from your reliance on any output generated by the Services.

●      Any damages arising from unauthorised access to or use of your account, except where caused by our gross negligence or wilful misconduct.

●      Any events beyond our reasonable control, including internet outages, third-party service failures, force majeure events, or acts of government.

Where liability cannot be excluded under applicable law, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Services shall not exceed the greater of the amount you paid to EqualyzAI for the Services in the 12 months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify, defend, and hold harmless EqualyzAI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to:

●      Your use or misuse of the Services.

●      Your violation of these Terms or applicable law.

●      Your infringement of any third-party right, including intellectual property, privacy, publicity, or contractual rights.

●      Any content you upload, generate, or distribute using the Services, including any voice cloning activity carried out under your account.

●      Any claim by a person whose voice was cloned that consent was not obtained or was invalid.

This indemnity shall survive termination of these Terms.

13. Termination and Data Export

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting privacy@equalyz.ai.

13.2 Termination by EqualyzAI

We may suspend or terminate your account and access to the Services, at our discretion, at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful activity, or created a risk of harm to EqualyzAI, other users, or third parties.

13.3 Effect of Termination

Upon termination:

●      Your right to access and use the Services will end immediately.

●      Any unused credits will be forfeited, except as expressly provided in Section 4.2.

●      Provisions of these Terms that by their nature should survive termination (including Sections 5, 9, 10, 11, 12, 15, and 16) shall survive.

13.4 Data Export

Before terminating your account, you may export Your Content from your account dashboard. After account termination, Your Content will be retained and deleted in accordance with our Privacy Policy. We are not obliged to retain Your Content beyond the retention periods stated in the Privacy Policy.

14. Modifications to These Terms

We may update these Terms from time to time to reflect changes in the Services, applicable law, or our business practices. Where we make material changes, we will notify you by:

●      Sending an email to the address associated with your account.

●      Posting a prominent notice on the VoiceMaker website or platform dashboard.

Material changes will take effect 14 days after notification, unless a longer period is required by applicable law. Non-material changes will take effect immediately upon posting.

Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may terminate your account.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Services shall first be attempted to be resolved amicably through good-faith negotiation between the parties. If the parties are unable to resolve the dispute within 21 days of one party notifying the other of the dispute, either party may refer the dispute to any court of competent jurisdiction in Nigeria.

16. General Provisions

16.1 Assignment

You may not transfer, assign, or delegate these Terms or your rights or obligations under them without our prior written consent. Any purported assignment without consent shall be void. EqualyzAI may assign or transfer these Terms and its rights and obligations at its discretion without your consent, including in connection with a merger, acquisition, restructuring, or sale of assets.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any additional terms applicable to specific features (such as API terms), constitute the entire agreement between you and EqualyzAI regarding the Services and supersede all prior understandings, arrangements, or agreements, whether written or oral.

16.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of EqualyzAI.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and EqualyzAI.

16.6 Notices

Notices to EqualyzAI must be sent to privacy@equalyz.ai. Notices to you will be sent to the email address associated with your account or posted on the VoiceMaker platform.

16.7 Force Majeure

EqualyzAI shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, internet outages, power failures, or actions of government authorities.
